These Terms of Use (“Terms”) govern your access to and use of this web site (“Site”), made available to you by Estwing Manufacturing Co., Inc. (“Estwing,” “we,” “us,” or “our”).

Use of the Site is subject to these Terms. By accessing or using the Site, you (“you”) agree that you have read and understand and agree to these Terms and acknowledge our Privacy Policy. If you do not agree with these Terms or our Privacy Policy, do not access or use the Site.

We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to the Site and, by accessing or using the Site after changes are posted, you agree to those changes. Material changes will be conspicuously posted on the Site or otherwise communicated to you.

1. Privacy Policy. We may collect certain information about you when you access or use our Site as described in our Privacy Policy, which is incorporated into these Terms by this reference. If you do not agree to anything set forth in our Privacy Policy, you must immediately stop using the Site.

2. Intellectual Property Rights. The Site, including any text, audio, video, graphics, charts, photographs, interfaces, icons, software, computer code, data, trademarks, logos, slogans, names of products and services, documentation, other components and content, and the design, selection, and arrangement of content and all intellectual property rights in the foregoing (collectively, “Content”) are exclusively the property of Estwing or, as applicable, its suppliers and licensors, and are protected by copyright, trademark, and other intellectual property laws. Any unauthorized use of any trademarks, trade dress, copyrighted materials, or any other intellectual property belonging to Estwing or any third party is strictly prohibited and may be prosecuted to the fullest extent of the law. The Site may contain references to third-party marks and copies of third-party copyrighted materials, which are the property of their respective owners. Except for the rights expressly granted to you in these Terms, Estwing retains all other ownership rights in and to the Site and Content, including all intellectual property rights. We provide the information and resources on the Site for general, informational purposes. We do not guarantee it is accurate, up-to-date, or applicable to you. Estwing in no way guarantees the accuracy or completeness of information on the Site. Content provided on the Site is not an offer for the sale and it is provided for informational purposes only.

3. Accounts. You may register for an account on the Site. By registering for an account, you represent and warrant that: (a) you are 18 years of age or older and the age of majority in your state of residence as of the time you register; (b) all information provided by you during the registration process is truthful, accurate and complete; and (c) you will comply with all terms and conditions of these Terms. You acknowledge that you are solely responsible for all activities that occur under your account. You are responsible for maintaining the security and confidentiality of your login credentials and account. You agree to notify Estwing immediately of any unauthorized use of any account or password, or any other known or suspected breach of security. Estwing may restrict, suspend or terminate your access to the Site and/or any portion thereof, at any time, for any reason or for no reason at all, without notice.

4. Use of the Site and Acceptable Use.

Subject to your compliance with these Terms, Estwing hereby grants to you a limited, non-exclusive, non-transferable, revocable, royalty-free, non-sublicensable right and license to access and use the Site and Content available via the Site solely as permitted by the tools, services, functionalities, and/or features made available to you, and not for redistribution of any kind. No other access or use of the Site is permitted.
You may download and print one copy of the Site’s visible content for your personal use, provided you do not modify or delete any copyright, trademark, or other proprietary notices.
The following actions are prohibited and violations of these terms:
1. You may not otherwise copy, reproduce, display, duplicate, sell, publish, post, license, rent, distribute, modify, translate, adapt, reverse-engineer, or create derivative works of the Site or any part of the Site without the prior written consent of Estwing.
2. You may not use the Site for unlawful purposes.
3. You may not access, use, or copy any portion of the Site or its content through the use of indexing agents, spiders, scrapers, bots, web crawlers, or other automated devices or mechanisms. You may not use the Site to post or transmit any material that contains any viruses, Trojan horses, worms, time bombs, cancelbots, malware, adware, or other computer programming routines that may damage, interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.
4. User activities that aim to render the Site or Content inoperable or to make their use more difficult are prohibited.
5. You may not submit inaccurate information via the Site, misrepresent your identity, commit fraud or falsify information in connection with your use of the Site, or act maliciously against the business interests or reputation of Estwing.
6. You may not upload, distribute, transmit, or post anything via the Site that: (i) is fraudulent, libelous, obscene, pornographic, indecent, violent, offensive, hate speech, harassing, threatening, defamatory, harms another person, or the like; (ii) invades the privacy of another or includes the confidential or proprietary information of another without their written consent, or (iii) is protected by intellectual property rights without the express prior written consent of the owner of such intellectual property rights.
7. You may not engage in data mining or similar data gathering or extraction activities from the Site, including to harvest email addresses, names, or other information of the users of the Site or to spam other users of the Site.
You are responsible for complying with all local, state, and federal laws and regulations that apply to your use of the Site.
If we become aware of any possible violations by you of any provision of these Terms, we reserve the right to investigate such violations, and we may, at its sole discretion, immediately terminate your license to use our Site, without prior notice to you or anyone else.

5. Updates. The Site and Content may change at any time without notice to you. Estwing may release updates and upgrades to the Site in its sole discretion; however, Estwing does not guarantee that the Site or Content will be kept up to date. Changes, updates, and upgrades may be accompanied by additional terms and conditions which will be provided to you at such time.

6. NO WARRANTY. THE SITE AND CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND. ESTWING MAKES COMMERCIALLY REASONABLE EFFORTS TO ENSURE THAT CONTENT ON THE SITE IS ACCURATE AND RELIABLE, BUT NEITHER ACCURACY NOR RELIABILITY ARE GUARANTEED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESTWING EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND WITH RESPECT TO THE SITE AND CONTENT, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM STATUTE, COURSE OF DEALING OR USAGE IN TRADE. ESTWING DOES NOT WARRANT OR GUARANTEE THE QUALITY, COMPLETENESS, TIMELINESS, OR AVAILABILITY OF THE SITE OR CONTENT. ESTWING DOES NOT WARRANT OR GUARANTEE THAT THE SITE OR CONTENT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY DEFECTS IN THE SITE OR CONTENT WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL CONDITIONS OR COMPONENTS. ESTWING IS NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL ERRORS ON THE SITE. 7. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ESTWING, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, AGENTS, SUPPLIERS, PROFESSIONAL ADVISORS, OR LICENSORS (COLLECTIVELY THE “ESTWING PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH THE SITE OR CONTENT, OR YOUR ACCESS TO OR USE OF THE SITE, OR THE INABILITY TO ACCESS OR USE THE SITE OR CONTENT, REGARDLESS OF THE FORM OF ACTION, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR OTHERWISE, AND EVEN IF AN ESTWING PARTY HAS EXPRESS KNOWLEDGE OF THE POSSIBILITY OF THE LOSS OR DAMAGE. YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP ACCESSING AND USING THE SITE AND CONTENT. WITHOUT LIMITING THE FOREGOING, IN NO EVENT WILL AN ESTWING PARTY’S AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THE SITE OR CONTENT, EXCEED $100 USD, EVEN IF THIS REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS, INCLUDING WITHOUT LIMITATION, NEW JERSEY, DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification. To the extent permitted by applicable law, you will indemnify, defend, and hold harmless the Estwing Parties from and against all losses, claims, liabilities, demands, complaints, actions, damages, judgments, settlements, fines, penalties, expenses, and costs (including reasonable attorneys’ fees) that arise out of or in connection with your access to or use of the Site or Content, your misuse of the Site or Content, or your violation of these Terms. We reserve, and you grant to us, the exclusive right to assume the defense and control of any matter subject to indemnification by you.

9. Third-Party Web Sites. The Site may link to, or be linked from, web sites not maintained or controlled by Estwing. Those links are provided as a convenience and Estwing is not responsible for examining or evaluating the content or accuracy of, and does not warrant or endorse, any third-party web site or any products or services made available through those web sites. Please take care when leaving the Site to visit a third-party web site. You should read the terms of use and privacy policy for each web site that you visit.

10. Feedback. Estwing welcomes comments regarding the Site and Content. If you submit comments or feedback to us regarding the Site, they will not be considered or treated as confidential. We may use any comments and feedback that you send us in our discretion and without attribution or compensation to you.

11. Disputes. These Terms are governed by the laws of the state of Illinois, without regard for its conflict of law principles. Venue is exclusively in the state or federal courts, as applicable, located in Winnebago County, Illinois, with respect to any dispute arising under these Terms or in connection with your access to or use of the Site or Content, unless otherwise determined by Estwing in its sole discretion, and the parties expressly agree to the exclusive jurisdiction of those courts. Any cause of action or other claim with respect to the Site or Content must be commenced within one year after the cause of action or claim arises.

12. Assignment. We may assign our rights and delegate our duties under these Terms at any time to any party without notice to you. You may not assign these Terms without our prior written consent.

13. Interpretation. These Terms, including our Privacy Policy and, as applicable, our Consumer Terms of Sale, are the entire agreement between you and Estwing with respect to your access to and use of the Site. Estwing’s failure to enforce any provision in these Terms will not constitute a waiver of that provision or any other provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Estwing. If any provision of these Terms is held invalid, void, or unenforceable, that provision will be considered severable from the remaining provisions and the remaining provisions will remain in full force and effect. The headings in these Terms are for convenience only and do not affect the interpretation of these Terms. These Terms inure to the benefit of Estwing’s successors and assigns.

14. Survival. Any provisions of these Terms that are intended to survive termination (including any provisions regarding indemnification, limitation of our liability, or dispute resolution) will continue in effect beyond any termination of these Terms or of your access to the Site.

15. Electronic Communications. These Terms and any other documentation, agreements, notices, or communications between you and Estwing may be provided to you electronically to the extent permissible by law. Please print or otherwise save a copy of all documentation, agreements, notices, and other communications for your reference.
